General Terms of Sale

Preamble

These General Terms of Sale govern the contractual relationship between Mayan Entertainment SAS and any person (individual or legal entity) wishing to benefit from the production services offered by the agency.

1. Service Provider Identification

2. Object

These General Terms of Sale define the rights and obligations of the parties in the context of audiovisual and advertising production services offered by Mayan Entertainment SAS, including executive production, art direction, director and talent search, and campaign management.

3. Services Offered

Services offered by Mayan Entertainment SAS include advertising content production (films, visuals), creative and strategic support, talent search and casting, and communication campaign management. Each service is subject to a detailed quote submitted for client approval.

4. Pricing and Quotes

Prices are established on a quote basis, on a case-by-case basis, depending on the scope of production, creative choices and talents involved. Quotes are valid for 30 days from their issue date. Prices are indicated in euros excluding taxes (HT), unless otherwise stated.

5. Payment Terms

Unless otherwise agreed, a deposit of 30% is required upon signature of the quote. The balance is payable upon receipt of the invoice, within 30 days. Any late payment automatically incurs late payment penalties at the legal interest rate plus a fixed recovery indemnity of 40 €.

6. Timelines and Delivery

Completion timelines are mutually agreed upon between the parties and specified in the quote. Mayan Entertainment SAS commits to respecting agreed timelines, except in cases of force majeure or modifications requested by the client during production.

7. Intellectual Property and Rights Assignment

Unless otherwise stipulated in the quote, the assignment of exploitation rights for produced content is included in the service price, for the uses defined in the quote. Any use outside the agreed scope requires written consent and may result in additional billing.

8. Liability

Mayan Entertainment SAS cannot be held liable for non-performance of the contract in case of force majeure. The company's liability is limited to the amount of the relevant service.

9. Cancellation and Termination

Any cancellation by the client after quote validation results in retention of the deposit paid. In case of cancellation occurring less than 15 days before the start of production, the client is liable for 50% of the total service amount.

10. Disputes

Any dispute relating to the interpretation and execution of these General Terms of Sale is subject to French law. In the absence of an amicable resolution, the dispute will be brought before the competent courts of Paris.
